DSV Panalpina completes DKK 30.2 billion acquisition

All conditions and requirements for the acquisition of Agility's Global Integrated Logistics (GIL) business have been met and DSV Panalpina A/S (DSV) is now formally acquiring GIL from Agility, which is based in Kuwait.

With the acquisition of GIL, DSV will become one of the world's three leading companies in the transportation and logistics sector and intends to further expand its business from this strong position.

The enterprise value of the transaction amounts to approximately DKK 30.2 billion and the equity value to approximately DKK 29.6 billion. The combination of DSV and GIL is expected to have a combined pro forma turnover of approximately DKK 160 billion (based on the last 12 months) and a combined workforce of 75,000 employees in more than 90 countries.

In return for 100 percent of GIL, Agility will receive DSV shares representing approximately 8 percent of all DSV shares outstanding after the transaction. This will make Agility the second largest DSV shareholder based on the current shareholder register. DSV has agreed to appoint a representative of Agility to the DSV Board of Directors upon completion of the transaction.

GIL has an annual turnover of DKK 29 billion (USD 4.6 billion), with air and sea freight accounting for the largest share. This company will be added to DSV's existing global network. In addition, the inclusion of GIL expands DSV's presence in both APAC and the Middle East. With a warehouse capacity of 1.4 million square meters, GIL will be a strong addition to DSV Solutions, while the overland transport activities in Europe and the Middle East will strengthen the DSV Road network.
